Terms of Service

1. Acceptance of Terms

By creating an account or using Threadly (the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Red Wagon Agency LLC ("we," "us," or "Threadly"). If you do not agree, do not use the Service.

These Terms apply to all users, including free and paid plan subscribers, and supplement the platform terms of any social networks you connect (X/Twitter, LinkedIn, Facebook, Instagram, TikTok, YouTube, Threads, Google).

2. Account Registration

• You must be at least 13 years old (16 in the EU) to create an account.
• You are responsible for maintaining the security of your login credentials.
• You must provide accurate and current information. Impersonating another person is prohibited.
• One account per person. Sharing accounts is not permitted under paid plans.
• You are responsible for all activity that occurs under your account.

3. The Service

Threadly provides social media scheduling, publishing, AI content assistance, analytics, MCP server access, and related tools. We reserve the right to:

• Modify, discontinue, or add features at any time with or without notice.
• Set and modify usage limits (posts per month, connected accounts, API calls) based on your plan.
• Use subprocessors and third-party APIs to deliver features.

4. Acceptable Use

You agree not to use Threadly to:

• Post spam, unsolicited messages, or coordinated inauthentic behavior.
• Violate the terms of service of any connected social platform.
• Harass, threaten, defame, or discriminate against any person or group.
• Publish false or misleading information, including AI-generated disinformation.
• Infringe copyright, trademark, or other intellectual property rights.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Use the Service for any illegal purpose under applicable law.
• Resell or sublicense access to the Service without written permission.
• Scrape, crawl, or extract data from the platform in an automated fashion.
• Publish content involving minors in a sexual context, graphic violence, or hate speech.

Violation of these terms may result in immediate account suspension or termination without refund.

5. Your Content

You retain ownership of all content you create and schedule through Threadly. By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and transmit your content solely to operate the Service on your behalf.

You represent that you have all rights, licenses, and consents required to publish your content, including any third-party images, videos, or text you include.

We do not use your content to train AI models or sell it to third parties.

6. AI Features

Threadly's AI features (Joe Whyte AI, caption generation, content suggestions) are powered by large language models including Anthropic's Claude. AI-generated content:

• May be inaccurate, incomplete, or inappropriate. Always review before publishing.
• Is not legal, financial, or professional advice.
• You are solely responsible for any content you publish, regardless of whether AI assisted in its creation.

7. Payments & Subscriptions

• Paid plans are billed monthly or annually in advance. All fees are in USD unless stated otherwise.
• Subscriptions automatically renew unless cancelled before the next billing date.
• Cancel anytime from Settings → Billing. Access continues until the end of the billing period.
• Refunds: we offer a 7-day money-back guarantee for first-time subscribers on paid plans. Contact legal@threadlyhq.com. No refunds after the 7-day period.
• Prices may change with 30 days' notice. Existing subscribers will be notified by email before any price change takes effect.
• We use Stripe for payment processing. By subscribing, you agree to Stripe's terms.

8. MCP Server & API Access

Access to the Threadly MCP server and API is governed by these Terms plus any separate API usage limits specified on your plan. You may not use the API to:

• Build products that compete directly with Threadly without written consent.
• Exceed stated rate limits or attempt to circumvent throttling.
• Share API keys publicly or with unauthorized third parties.

9. Intellectual Property

The Threadly platform, brand, logo, Joe Whyte AI persona, and all underlying software are owned by Red Wagon Agency LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without prior written consent.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE.

Social platform APIs are operated by third parties. We are not responsible for downtime, rate limit changes, or policy changes by X, LinkedIn, Facebook, Instagram, TikTok, YouTube, Threads, or Google that affect your ability to schedule or publish content.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RED WAGON AGENCY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, LOST PROFITS, LOSS OF DATA, OR DAMAGE TO REPUTATION ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid us in the 3 months preceding the claim.

12. Termination

You may delete your account at any time from Settings. We may suspend or terminate your account immediately if you violate these Terms. Upon termination, your access to the Service ends and your content will be deleted within 30 days per our Privacy Policy.

13. Governing Law

These Terms are governed by the laws of the State of [Your State], United States, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in accordance with JAMS arbitration rules, except either party may seek injunctive relief in a court of competent jurisdiction.

14. Changes to Terms

We may update these Terms periodically. We will notify you of material changes by email and by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
